A Power of Attorney lets a trusted person in India legally manage your property, bank accounts, and financial transactions on your behalf as an NRI. Executed abroad, it must be signed before the Indian Embassy or Consulate, then registered in India within 90 days of receipt. With a Power of Attorney (POA) holder standing in for you, you can buy and sell real estate, manage movable property, and get representation at government offices and financial institutions.

A POA gives someone legal authority to represent you in the specific matters the deed covers. You’re called the principal, donor, or grantor. The person receiving authority is the holder, donee, or agent.

Benefits of a Power of Attorney for NRIs

With a POA holder available to act for you, you don’t need to delay a good opportunity or fly back to India every time something needs handling. It’s genuinely useful when you have someone trustworthy back home to manage things on your behalf.

A POA holder can typically help with:

  • Routine NRE/NRO bank account operations: issuing cheques, accessing statements, giving standing instructions
  • Managing real estate: buying, selling, mortgaging, renting out, repairs, local tax payments, taking a home loan, insuring the property
  • Entering business contracts and settling claims
  • Signing tax forms and claim settlements
  • Routine financial operations: paying insurance premiums, collecting benefits and claims, making deposits, buying bonds, dealing with brokerages and mutual fund houses on your behalf

A POA holder cannot open a new bank account or start a new insurance policy for you. RBI rules also bar a resident POA holder from repatriating funds abroad, though they can deposit funds into your NRE/NRO accounts.

Types of Power of Attorney for NRIs

General Power of Attorney (GPA)

A GPA is a broad deed granting authority over almost all your legal and financial affairs in India, either across all your properties or all your banking and financial transactions. Only grant a GPA when you’re genuinely certain the agent will act in good faith and in your best interest, since the scope is wide.

Special Power of Attorney (SPA)

An SPA covers one specific task and becomes unenforceable automatically once that task is complete. It protects you from the broad, ongoing authority a GPA grants, making it a more contained and often safer instrument for a single transaction.

The Life Certificate Nobody Warns You About

A reader once shared that land dealings in some Indian states, Tamil Nadu in her daughter’s case, require a “Life Certificate” for the POA issuer, no older than one month, issued by a registered medical practitioner and countersigned by the Indian Embassy or Consulate. Her daughter, based in the USA, found it genuinely difficult to get, since doctors there simply weren’t familiar with the requirement. Without a valid, recent Life Certificate, some property transactions under a POA won’t be honored at all. Check this requirement with the specific state and registrar involved well before you need it, not after a deal is already in motion.

A POA that’s perfectly valid on paper can still stall on a document nobody mentioned upfront.

How to Execute a Power of Attorney as an NRI

Start with a genuinely trustworthy person, usually a close relative or friend, to manage your properties and carry out transactions on your behalf.

The process from your country of residence:

  1. Prepare two original copies of the POA deed on plain paper with the applicable terms. Do not sign them beforehand. You must sign all pages in the presence of a competent authority at the Indian Embassy or Consulate.
  2. Two local witnesses must also sign at the same time. If they can’t be physically present at the Embassy, get their signatures notarized separately.
  3. Send the signed deed by registered post to the holder’s Indian address.
  4. In India, the holder must get the deed registered at the Registrar, Sub-Registrar, or Sub-Divisional Magistrate’s office, in the presence of two witnesses, within the jurisdiction of the property or the holder’s residence. This must happen within 90 days of receiving the post.

  • Two original copies of the POA document
  • Original passport with a copy
  • Local address proof in your country of residence: driving license, work permit, etc.
  • Two recent passport size photographs
  • ID proof of the witnesses, or their notarized signatures and ID copies if they can’t be present

Important Aspects to Keep in Mind

Delegating authority doesn’t remove your responsibility. You remain ultimately accountable for your POA holder’s actions. These safeguards help:

  • To be legally valid, POA deeds executed abroad must be registered in India.
  • A POA ceases to be in force if the principal dies, is declared mentally incompetent, or becomes insolvent.
  • Granting a POA over property doesn’t transfer its ownership.
  • The POA holder can accept payments on your behalf into your NRE/NRO account.
  • Define the scope of authority clearly. Whatever the agent does within that scope binds you legally.
  • Always include an indemnity clause in the deed to protect against any bad faith actions by the agent.

Can a Power of Attorney holder repatriate funds out of India on my behalf?
No. RBI rules prevent a resident POA holder from repatriating funds abroad. They can deposit funds into your NRE or NRO account, but taking money out of India isn’t within their authority.

Does granting a POA transfer ownership of my property?
No. A POA grants authority to act on the property, not ownership. Ownership stays with you as the principal unless a separate sale or transfer deed is executed.

What happens to a Power of Attorney if the principal passes away?
It ceases to be valid immediately. The same applies if the principal is declared mentally incompetent or insolvent. Any pending transactions need to go through the estate process instead.
